Terms & Conditions.

These Terms & Conditions govern the services provided by Ascentia Forge (“Ascentia Forge”, “we”, “us”), a software studio based in India and run by Jatin Pal, to any client (“you”) who engages us for a project. By accepting a quotation, paying an invoice, or instructing us to begin work, you agree to these terms.
1. Our services
Ascentia Forge designs and builds software — including ERP, POS, CRM, accounting systems, dashboards and websites — along with related consulting, deployment and support. The exact scope of any engagement is defined in the quotation or proposal agreed with you. Anything not listed in that scope is not included.
2. Quotations & estimates
Quotations are valid for the period stated on them (typically 15 days) and are based on the requirements known at the time. If your requirements change, or are more complex than described, we will provide a revised quotation before continuing.
3. Payment
- Prices and payment terms are as stated on the agreed quotation or invoice.
- Where applicable, taxes (such as GST) are charged in addition and shown separately.
- Work begins once the agreed payment (or advance) is received. We may pause work if a due payment is outstanding.
- Invoices are payable within the time stated; overdue amounts may attract a reasonable late fee.
4. Timelines & your responsibilities
We will share an estimated timeline for each project. Timely delivery depends on you providing the content, access, approvals and feedback we need without undue delay. Delays on your side may shift the delivery date accordingly.
5. Revisions & changes in scope
A reasonable number of revisions within the agreed scope is included. Requests that add new features or materially change the agreed scope are treated as additional work and quoted separately before we proceed.
6. Intellectual property
Until a project is paid for in full, all work product remains the property of Ascentia Forge. On full payment, ownership of the deliverables created specifically for you transfers to you, except for any third-party components, open-source libraries, or our own pre-existing tools and frameworks, which remain under their respective licences.
7. Warranties & support
We build to a professional standard and will fix genuine defects reported within the support period stated in your quotation. Support does not cover issues caused by changes made by others, third-party service outages, or new requirements.
8. Limitation of liability
To the maximum extent permitted by law, Ascentia Forge’s total liability for any claim arising out of an engagement is limited to the fees paid by you for that engagement. We are not liable for indirect or consequential losses, loss of profit, or loss of data. You are responsible for maintaining your own backups.
9. Confidentiality
We keep your business information confidential and use it only to deliver your project. We may, unless you ask us not to, reference the project and show non-confidential screenshots in our portfolio.
10. Third-party services
Projects may rely on third-party services (hosting, domains, payment gateways, APIs). These are governed by their own terms, and any charges for them are your responsibility unless agreed otherwise.
11. Termination
Either party may end an engagement in writing. On termination, you remain liable for work completed and costs incurred up to that point. Fees already paid for completed milestones are non-refundable.
12. Governing law
These terms are governed by the laws of India, and any disputes are subject to the jurisdiction of the courts of India.
13. Changes to these terms
We may update these terms from time to time; the current version is always the one published on this page. The terms that apply to your project are those in effect when your quotation is accepted.
